Privacy Notice

Enzo Biochem, Inc. (the “Company”, “we” or “us” or “our”) is committed to protecting the privacy of your personal data. This Privacy Policy (“Policy”) applies to individuals located in the European Economic Area (“EEA”), United Kingdom (“UK”) and Switzerland and describes our policies and practices regarding the collection, use, and disclosure of personal data we collect about you online through our website (“Site”) and from offline channels such as telephone calls, visits to our facilities and other in person interactions.

This Policy supplements any other privacy policy we may give you when we collect or process your personal data. Any terms defined within the EU or UK General Data Protection Regulation have the same meaning when utilized within this Policy.

For purposes of applicable data protection laws, the Company is the data controller of the personal data we collect from you for the processing activities set forth in this Policy.

We reserve the right to change this Policy at any time. In the event we make material changes to the Policy, we will provide notice through the Site. Changes will be effective immediately upon posting to the Site and will apply to your use of the Site after the “effective date” listed above. You understand and agree that your continued use of the Site or interaction with us through other channels after the effective date means that the collection, use, and sharing of your information is subject to the updated Policy. Except to the extent we receive your authorization or as permitted or required by applicable law, we will handle your information in accordance with the terms of the Policy in effect at the time of the collection.

Collection of Personal Data

We collect and process the following personal data from or about you, where permitted by applicable law:

• Contact and Identity data (e.g., name, address, email address, company, title, phone number, contact type, industry)
• Account Information (e.g., username and password)
• Technical and Usage Data (e.g., interactions with our website or advertisement, logs data, domain names of visitor’s Internet service provider, IP address, browser, language settings, version of browser software operating system and surface, date and time of access, website requesting access)
• Financial data (e.g., payment information). Note, we use a third party to collect and process payment information. We do not have access to or store your credit card information.
• Commercial data (e.g., purchases, purchasing history)
• Employment and professional data (e.g., company, title, contact information)
• Marketing and communications data (e.g., Name, address, email, company, IP address, subscriptions, interests)

You are not required to provide any of the personal data listed above; however, if you choose not to provide certain information when requested, we may be unable to send you email alerts, respond to your inquiry, or provide certain Site features.

Cookies and Web Technologies

Our Site uses cookies and other web technologies to collect and store certain information when you visit or use the Site. A cookie is a small file consisting of letters and numbers. This file uniquely identifies and recognizes your browser or device and transmits information to the server. Some of these cookies are placed by us (i.e., first-party cookies) and others are placed by third parties (i.e., third party cookies). We use the following cookies on the Site:

• Strictly Necessary/ or Essential Cookies: These cookies are essential to the basic operation of our Site. They help identify you when you sign in, remember the information you input in an online form or shopping cart, enable you to navigate around the Site, use its features, or provide you with services you have requested. Without these cookies, we may be unable to provide the Site or certain services or features.

We use Google Analytics to collect and analyze information about your usage of the Site.  To compile this statistical information, Google may collect information through web technologies about your equipment, browsing actions and patterns, including:

• the means you use to access the Site
• the precise location of your device or information about your approximate location each time you access the Site, in accordance with your device permissions
• your Internet Protocol (IP) address or other unique identifier of your computer, cell phone, or other device used to access the Site
• your language settings
• browser information and reference site domain name when you visit the Site
• device identifier
• session data (e.g., browsing history, date and time)
• user ID

Most browsers allow you to block or refuse cookies and include information in the Help Menu on how to prevent your browser from accepting new cookies or how to disable cookies. If you do so, you may need to adjust your preferences manually each time you visit a website. Please note that if you block certain cookies, some of the functions on our website may not work. As noted above, you can also exercise control over the use of non-essential cookies in our Cookie Consent Manager.

Sources. We collect your personal data from various sources, including you, when you voluntarily provide it or that we collect automatically when you visit or use the Site; service providers or vendors who collect or process personal data on our behalf; distributors; your social media pages consistent with your settings and as permitted by applicable law; publicly available websites consistent with their terms and conditions; from third parties that are lawfully entitled to share your personal data with us; and from other publicly available sources.

Purpose and Lawful Basis for Processing. We process your personal data for a variety of purposes, as outlined below, where we have a lawful basis to do so. This generally includes but is not limited to entering into or performing a contract with you; complying with applicable legal and regulatory obligations; where our legitimate interests or those of a third party are not outweighed by your privacy rights; where necessary to protect your interests or those of others; or as necessary for the public interest. We may also process your personal data based on your affirmative consent. The following chart identifies the purposes for collecting and processing your personal data and the lawful bases we rely on to do so. You may obtain information regarding how we assess our legitimate interests or to object to our processing your personal data when we rely on our legitimate interests by contacting us at compliance@enzo.com.

We will process your personal data for the purpose for which we collect it and for further purposes only if we deem them compatible with that original purpose. Please note, we may process your personal data without your knowledge or consent when required or permitted by law.

When we process your personal data based on your consent, you have the right to withdraw your consent for that specific processing activity at any time. To do so, please contact compliance@enzo.com.

Sharing Your Personal Data

We may disclose or share your personal data for the purposes that we use it, as described in this Policy. To carry out such purposes, we may disclose your personal data to the following categories of third parties.

• Enzo employees and workforce members with a need to know based on job responsibilities.
• Service providers and processors who collect or process information on our behalf for purposes including, without limitation, website operation or hosting, email services, fraud protection, marketing and promotional services, application collection and processing, data analysis, website analytics, IT services, cloud storage, fulfillment services, and security.
• Related entities and business partners (e.g., as part of promotions or events) and distributors.
• Third parties and vendors that assist us with analytics, marketing activities (e.g., delivering targeted ads), regulatory compliance, background and security checks.
• Professional advisors, including lawyers, accountants, auditors, bankers, and insurers.
• Social networks in connection with marketing.
• Government authorities or agencies, regulatory bodies, and law enforcement agencies if required by law; to comply with a civil, criminal, or regulatory inquiry, investigation, subpoena, or summons by government authorities; to investigate, prevent, or take action regarding suspected or actual illegal activities.
• Third parties in connection with the due diligence for or completion of a merger or sale involving all or part of our company or as part of a corporate reorganization, stock sale or other change of control.
• Third parties as necessary to comply with applicable laws, at your direction, or to investigate, establish or defend a legal claim.

Some of these third parties may transfer your personal data out of the EEA, UK, or Switzerland to another jurisdiction for processing or storage.

Embedded Content, Links to Third Parties’ Sites, and Third-Party Integrations

The Site contains embedded content (e.g., YouTube videos). Embedded content may place third party cookies on your device that track your online activity to enhance your experience or assess the success of their application. We have no direct control over the information these cookies collect, and you should refer to their website privacy policy for additional information.

We provide links to websites or resources outside of our Site for your informational purposes only. We may also provide links to third party integrations. Third party integrations are websites or platforms that synchronize with our Site to provide you with additional functionality, tools, or services such as maps, or sending requested information. You acknowledge and agree we are not responsible for the availability of embedded content, third party sites, or integrations and do not endorse and are not responsible or liable for any content, advertising, goods, services or other materials on, available through, or provided by such sites, resources, or integrations. We are not responsible for the privacy or other practices of such embedded content, sites, and integrations and cannot guarantee the security of personal information that you provide or is collected by them. We encourage you to review the privacy policies and terms and conditions on those linked sites.

Social Media

Our Site includes social media widgets, including but not limited to meta (Facebook), X and LinkedIn. If you use these features, they may collect your IP address and the pages you visit on our Site and set a cookie to enable the feature to function properly. These services will also authenticate your identity and provide you the option to share certain PI with us, such as your name and email address. Your interactions with these features are governed by the Privacy Policy of the third-party company providing them.

Data Subject Rights

You have certain rights under applicable law with respect to your personal data, subject to limitations. These may include the right to:

1. Obtain confirmation as to whether we are processing your personal data, receive access to the personal data and information about that processing, and obtain a copy of the personal data in a commonly used electronic form.
2. Request correction of incomplete or inaccurate personal data we hold about you.
3. Request a restriction on the processing of your personal data in certain limited circumstances.
4. Object to the processing of your personal data carried out in the public interest, based on our legitimate interest or those of a third party, or for purposes of direct marketing. You may obtain information regarding how we assess our legitimate interests or object to our processing your personal data when we rely on our legitimate interests by contacting us at compliance@enzo.com.
5. Request the erasure or deletion of your personal data, subject to certain exceptions.
6. Receive your personal data, which you provided to us, in a structured commonly used machine-readable format and to transmit that personal data to another data controller where processing is based on your consent, pursuant to performance of a contract, or where the processing is performed by automated means.
7. Not to be subject to a decision based solely on automated processing, including profiling, which produces a legal effect concerning you or similarly significantly affects you.
8. Withdraw your consent where processing is based on consent.
9. Lodge a complaint with the appropriate authority in your jurisdiction.

Retention

We retain your personal data only for the period of time needed to fulfill the purposes stated in this Policy subject to applicable legal obligations. We may also need to retain your personal data for legitimate business needs such as accounting, reporting, and investigating or defending a claim.

In order to determine how long we retain your personal data, we consider the nature and sensitivity of your personal data, our purpose for collecting, storing, and processing the data, the potential risk of harm to the privacy and security of your personal data, and applicable legal retention requirements.    

Security

We take precautions to protect data and information under our control from misuse, loss or alteration. Our security measures include industry-standard physical, technical, and administrative measures to prevent unauthorized access to or disclosure of your information, to maintain data accuracy, to ensure the appropriate use of information, and otherwise safeguard your personal information. However, no system for safeguarding personal or other information is 100% secure, and, although we have taken steps to protect your personal information from being intercepted, accessed, used or disclosed by unauthorized persons, we cannot fully eliminate security risks associated with personal information.

Please recognize that protecting your personal information is also your responsibility. We ask you to be responsible for safeguarding the password, security questions and answers, and other authentication information you use to access our Site.

Transfers

We may share your personal data with our subsidiaries or related entities, with data processors or with other third parties, which may involve transferring your personal data out of the EEA,  UK, or Switzerland for processing or storage to other countries including the U.S. When we transfer your personal data out of the EEA,  UK, or Switzerland, we do so in accordance with the applicable regulations to ensure it receives a similar degree of protection as provided by the data protection laws of your jurisdiction.  For more information on the mechanism we use to transfer your personal data, please contact us at compliance@enzo.com.

When you visit or interact with certain features on our Site, such as a third party link or social media widget, third parties may collect or access your personal data to provide you with certain services, content or information.
